Part I — Terms of Service

Introduction

Welcome to Bloom Bot("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our Telegram-based cryptocurrency trading bot (including Solana and EVM-compatible chain functionalities), our Manager dashboard at manager.bloombot.app, our browser extensions, and all related services, including our website located at bloombot.app (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree with any part of these Terms, you must not access or use our Services.

You acknowledge that by using the Services you have read, understood, and accepted these Terms in their entirety, including all appendices and referenced policies. Continued use of the Services after any modification constitutes your acceptance of such modifications.

Eligibility and Acceptance

By using our Services, you represent and warrant that:

  • You are at least 18 years old or of legal age to form a binding contract in your jurisdiction.
  • You have full legal capacity and authority to enter into these Terms.
  • Your use of the Services does not violate any applicable laws, regulations, or agreements to which you are a party or by which you are bound.
  • You are not a resident of, located in, or otherwise subject to the jurisdiction of any Restricted Jurisdiction.
  • You have reviewed and understood all documentation made available by Bloom Bot, including user guides, FAQ materials, and risk disclosures, prior to using the Services.

Restricted Jurisdictions

3.1 Prohibited Jurisdictions

Our Services are not intended for use by individuals or entities located in, incorporated in, or with a registered office in any jurisdiction where their use would be illegal or otherwise violate applicable law, including:

  • Belarus
  • Bolivia
  • Cuba
  • Crimea Region
  • DR Congo
  • Iran
  • Iraq
  • Ivory Coast
  • Liberia
  • Libya
  • North Korea
  • Somalia
  • Sudan
  • Syria
  • Venezuela
  • Yemen
  • Zimbabwe

3.2 Representations and Warranties

  • You are not a resident of or located in any Restricted Jurisdiction.
  • You are not subject to any sanctions or restrictions imposed by the EU, UN, OFAC, or any other applicable governmental authority.
  • You will not use any technology (e.g., VPN, proxy, Tor) to circumvent the restrictions set forth herein.

3.3 Prohibition on Restricted Persons

  • Do not use the Services if you are a Restricted Person.
  • Do not make the Services available to any Restricted Person.
  • Do not modify, disassemble, decompile, reverse engineer, or create derivative works of the Services to make them available to any Restricted Person.

Account Registration

4.1 Account Creation

  • Provide accurate, current, and complete information during registration.
  • Update your information promptly to keep it accurate and complete.
  • Maintain the security and confidentiality of your Account credentials.
  • Accept sole responsibility for all activities that occur under your Account, whether or not authorized by you.

4.2 Account Security

You are solely responsible for safeguarding your Account credentials, including private keys, seed phrases, wallet passwords, and any other authentication information. We are not liable for any loss or damage arising from your failure to protect your credentials. We do not store, have access to, or have the ability to recover your private keys or seed phrases.

4.3 Unauthorized Access

Notify us immediately at support@bloombot.app if you suspect any unauthorized access to or use of your Account. Failure to promptly notify us may result in additional losses for which we bear no responsibility.

Use of the Services

5.1 Third-Party Services

  • We do not control, operate, audit, or endorse any Third-Party Services accessible through the Services.
  • All transactions are executed by Third-Party Services not controlled by us.
  • We are not responsible for any issues, losses, delays, failures, or damages arising from Third-Party Services, including bridge failures, DEX smart contract exploits, oracle malfunctions, or liquidity shortages.

5.2 No Control Over Transactions

  • Transactions on blockchain networks are irreversible once confirmed.
  • We do not guarantee the identity of any user, receiver, or other party in any transaction.
  • You are solely responsible for verifying the accuracy, legality, and intended outcome of your transactions before initiation.
  • Network congestion, gas price fluctuations, slippage, and MEV activity may affect transaction outcomes, and we bear no liability for such effects.

5.3 Compliance with Third-Party Terms

Your use of Third-Party Services is subject to their respective terms and conditions. You are solely responsible for reviewing and complying with those terms. We disclaim all liability arising from your interaction with Third-Party Services.

Fees and Payments

6.1 Service Fees

We may charge fees for certain transactions or services ("Service Fees"). Any applicable Service Fees will be disclosed before you complete a transaction. By proceeding, you agree to pay all applicable Service Fees.

6.2 Third-Party Fees

Third-Party Services may charge additional fees (e.g., network transaction fees, gas fees, bridge fees, priority fees). You are solely responsible for paying all such fees, and we have no control over or liability for them.

6.3 Changes to Fees

All fees are subject to change at our sole discretion. We will make reasonable efforts to notify you of any material changes. Continued use of the Services following a fee change constitutes acceptance of the new fee schedule.

Referral Program

We may offer referral programs that allow you to earn rewards by referring new users to the Services. Participation is subject to compliance with additional terms provided separately, and our right to modify, suspend, or cancel the program at any time without prior notice. We are not liable for any issues arising from the Referral Program, including technical malfunctions, inaccuracies in tracking referrals, or delays in reward distribution.

Intellectual Property Rights

8.1 Ownership

All content, materials, and services — including text, graphics, logos, software, algorithms, and trademarks — are the property of Bloom Bot or its licensors and are protected by applicable intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use, subject to these Terms.

8.3 Restrictions

  • Do not reproduce, distribute, modify, or create derivative works of the Services without our prior written consent.
  • Do not use our trademarks, trade names, or branding without our prior written permission.
  • Do not reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services.
  • Do not scrape, crawl, or use automated means to extract data from the Services.

Feedback

By submitting feedback, comments, suggestions, or ideas ("Feedback") to us, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and create derivative works from such Feedback for any purpose, without compensation or attribution to you.

Prohibited Uses

10.1 Compliance with Laws

You agree not to use the Services in any way that violates any applicable federal, state, local, or international laws or regulations, including anti-money laundering (AML), counter-terrorism financing (CTF), and sanctions regulations.

10.2 Prohibited Activities

  • Engage in fraudulent, deceptive, or manipulative activities, including market manipulation.
  • Introduce viruses, trojan horses, worms, or other malicious code into the Services.
  • Gain or attempt to gain unauthorized access to our systems, data, or other users' accounts.
  • Use unauthorized bots, spiders, or scrapers to access or interact with the Services.
  • Participate in wash trading, spoofing, or any form of illegal trading activities.
  • Use the Services to facilitate terrorist financing, money laundering, or sanctions evasion.
  • Use the Services in or from any Restricted Jurisdiction.
  • Assist any Restricted Person or entity in accessing the Services.
  • Exploit any bug, vulnerability, or unintended feature of the Services for personal gain or to the detriment of other users.

Security Risks and Disclaimers

11.1 No Guarantee of Security

We do not guarantee the security of the Services or your digital assets. You acknowledge and accept the inherent risks associated with transmitting information over the internet and interacting with blockchain networks.

11.2 Transmission of Keys

You acknowledge that private keys and seed phrases may be transmitted over communication channels, and you accept the associated risks. It is your sole responsibility to ensure the security of your credentials.

11.3 Release of Liability

  • Unauthorized access to your Account.
  • Loss or theft of your private keys or seed phrases.
  • Security breaches, vulnerabilities, or exploits in the Services or Third-Party Services.
  • Blockchain network failures, congestion, or forks.

Third-Party Services and Content

We do not endorse, warrant, or assume responsibility for any Third-Party Services or content accessible through the Services. Your interactions with Third-Party Services are solely between you and the relevant third party.

No Financial or Investment Advice

All information provided through the Services is for informational purposes only and should not be construed as financial, investment, tax, or legal advice. Your use of the Services does not create any fiduciary, advisory, brokerage, or agency relationship between you and Bloom Bot. You should consult qualified professionals before making any investment or trading decisions.

Risks Associated with Cryptocurrency Trading

  • Cryptocurrency markets are highly volatile and can experience extreme price fluctuations, including to zero.
  • Trading involves a significant risk of total or partial loss of invested capital.
  • You are solely responsible for your trading decisions and assume all risks associated with cryptocurrency trading.

We are not liable for any losses incurred due to market fluctuations, trading activities, smart contract failures, rug pulls, token delistings, or your use of the Services.

Taxes

You are solely responsible for determining your tax obligations related to your use of the Services and for reporting and paying any applicable taxes. We do not provide tax advice and are not responsible for determining whether taxes apply to your transactions.

Privacy Policy

Your use of the Services is also subject to our Privacy Policy, available at bloombot.app/privacy. By using the Services, you consent to the practices described in the Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.

We do not warrant that the Services will meet your requirements; be uninterrupted, timely, secure, or error-free; or that results obtained will be accurate or reliable.

Limitation of Liability

18.1 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, Bloom Bot and its affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, use, goodwill, or anticipated savings, regardless of the theory of liability.

18.2 Cap on Liability

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the lesser of: (a) the total Service Fees you have paid to us in the twelve (12) months preceding the event, or (b) one hundred euros (€100).

18.3 No Liability for Third Parties

We shall not be liable for damages resulting from unauthorized access to your data; statements or conduct of any third party; any Third-Party Services or their availability, performance, or content; or blockchain network conditions, including congestion, forks, or protocol changes.

Indemnification

You agree to defend, indemnify, and hold harmless Bloom Bot and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or connected with your access to or use of the Services, your violation of these Terms, your violation of any third-party rights, or your violation of any applicable laws or regulations.

Termination and Suspension

20.1 Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, including for any violation of these Terms or applicable laws.

20.2 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Any provisions that by their nature should survive termination (including Sections 8, 11, 17, 18, 19, 22, 23, 24, and 25) shall remain in full force and effect.

20.3 No Liability

We are not liable for any losses or damages arising from the termination or suspension of your access to the Services.

Changes to the Terms and Services

We may modify these Terms at any time by posting the updated Terms on our website. Changes are effective immediately upon posting. We will make reasonable efforts to notify you of significant changes; however, it is your sole responsibility to review the Terms regularly. Continued use of the Services after any changes constitutes your irrevocable acceptance of the new Terms. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice or liability.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania and applicable European Union regulations, without regard to conflict of law principles. Subject to the arbitration provisions below, you agree to submit to the exclusive jurisdiction of the courts located in Bucharest, Romania.

23

Dispute Resolution and Arbitration

23.1 Amicable Resolution

In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith negotiations within sixty (60) days of written notification.

23.2 Binding Arbitration

If the dispute is not resolved through amicable negotiations, it shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce ("ICC") by one or more arbitrators appointed in accordance with said Rules.

23.3 Arbitration Details

  • Seat: Bucharest, Romania.
  • Language: English.
  • Confidentiality: All arbitration proceedings, submissions, and awards shall be strictly confidential.

23.4 Final and Binding

The arbitration award shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action, and you waive any right to participate in a class action lawsuit or class-wide arbitration. Where applicable law (including mandatory consumer protection provisions) prohibits such a waiver, this section shall not apply to the extent of that prohibition.

Limitation on Time to File Claims

Any claim related to these Terms or the Services must be filed within six (6) months after the cause of action accrues. Failure to file within this period shall result in the claim being permanently barred.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Bloom Bot.

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any additional agreements incorporated by reference, constitute the entire agreement between you and Bloom Bot regarding the Services and supersede all prior agreements, understandings, representations, and warranties.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time without notice or consent. Any attempted assignment in violation of this section is null and void.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, blockchain network outages, smart contract failures on third-party protocols, regulatory actions, pandemics, natural disasters, or any other force majeure event.

Language

These Terms are drawn up in English. If translated into any other language, the English version shall prevail in the event of any inconsistencies or discrepancies.

Assumption of Risk

  • Cryptocurrency and digital asset trading.
  • Decentralized finance (DeFi) protocols.
  • Blockchain technology, including smart contract risks.
  • The use of automated trading tools.
  • Interactions with Third-Party Services.
  • The potential for total loss of any digital assets used in connection with the Services.

Documentation and User Obligations

  • You have reviewed and understood all available documentation prior to using the Services.
  • You are responsible for regularly monitoring announcements, updates, and communications from Bloom Bot.
  • Failure to review documentation does not relieve you of any obligations under these Terms or entitle you to any claim, including refund claims.

Appendix A — Definitions

Account

A unique account created for you to access our Services.

Affiliate

Any entity that directly or indirectly controls, is controlled by, or is under common control with Bloom Bot.

Bloom Bot

The Company offering the Services.

Bot

The Telegram-based trading bot operated by Bloom Bot, including its Solana and EVM-compatible chain functionalities.

Confidential Information

All non-public information disclosed by us, including business plans, technology, algorithms, and customer information.

Digital Assets

Cryptocurrencies, tokens, or other blockchain-based digital assets.

Restricted Jurisdictions

Has the meaning set forth in Section 3.

Restricted Person

Any individual or entity that is a resident of, located in, or subject to any Restricted Jurisdiction, or subject to any applicable sanctions or trade restrictions.

Services

Has the meaning set forth in Section 1.

Third-Party Services

Has the meaning set forth in Section 5.1, including DEXs, bridges, oracles, liquidity providers, RPC node providers, and external APIs.

Appendix B — Risk Disclosure

B.1 Market Risks

  • Volatility: The prices of Digital Assets are highly volatile and may decline to zero.
  • Liquidity: Markets may lack sufficient liquidity, making it difficult or impossible to execute trades at desired prices.
  • Regulatory Risk: Regulatory changes could adversely affect the value, legality, or transferability of Digital Assets.

B.2 Technological Risks

  • Security Flaws: Digital Assets and smart contracts may contain undiscovered vulnerabilities or bugs.
  • Network Forks: Protocol changes or forks can affect the value, availability, or functionality of Digital Assets.
  • Cyber Attacks: Risk of hacking, phishing, social engineering, and theft.
  • Smart Contract Risk: Interactions with decentralized protocols carry the risk of smart contract failure, exploit, or unintended behavior.

B.3 Legal Risks

  • Legal Uncertainty: Laws and regulations regarding Digital Assets and DeFi are evolving and vary across jurisdictions.
  • Tax Obligations: Tax treatment of Digital Assets may vary and is subject to change.

B.4 Operational Risks

  • Human Error: User mistakes (e.g., incorrect wallet addresses, wrong token selection) can result in irreversible loss.
  • System Failures: Technical issues, including bot downtime, may temporarily disrupt Services.
  • Third-Party Dependency: The Services depend on third-party infrastructure which may experience outages or degradation.

Part II — Refund Policy

R1

Scope and Applicability

This Refund Policy governs all refund requests related to the use of Bloom Bot's Services, including the Telegram bot and web-based interfaces (collectively, the "Bot"). This Refund Policy is an integral part of the Terms of Service. By using the Services, you acknowledge and accept this Refund Policy in its entirety.

R2

Eligibility for Refund

R2.1 Refund-Eligible Losses

Bloom Bot may, at its sole discretion, issue a refund only when a loss is directly and exclusively caused by a verified technical issue, malfunction, or bug in the Bot itself (i.e., in the Bloom Bot Telegram bot, Solana functionalities, or EVM-compatible chain functionalities operated by Bloom Bot).

R2.2 Determination

The determination of whether a loss qualifies for a refund rests solely with Bloom Bot. Users must submit a refund request throughsupport@bloombot.app, providing complete and accurate details of the incident, including transaction hashes, timestamps, screenshots, and a description of the issue.

R3

Non-Refundable Scenarios

Refunds shall not be issued in any of the following circumstances.

R3.1 Third-Party Service Failures

No refund shall be issued for losses arising from the failure, malfunction, delay, or unavailability of any Third-Party Service, including cross-chain bridges, DEXs, token swap aggregators, RPC node providers, external APIs, oracles, or liquidity providers.

R3.2 Losses Unrelated to Bot Functionality

  • Market volatility, price fluctuations, or adverse market conditions.
  • Rug pulls, token delistings, or project failures.
  • Blockchain network congestion, forks, or outages.
  • Smart contract exploits on third-party protocols.
  • MEV (Maximal Extractable Value) attacks.
  • Slippage beyond configured thresholds.

R3.3 Announced Issues, Downtime, and Maintenance

No refund shall be issued for losses incurred during scheduled or unscheduled maintenance communicated through any official Bloom Bot channel; known issues or bugs that have been disclosed; or any event for which Bloom Bot has provided prior notice, clarification, or warning.

R3.4 User Negligence or Error

  • User negligence or error, including inputting incorrect parameters, wallet addresses, or token selections.
  • Failure to read, review, or understand documentation, user guides, FAQs, risk disclosures, or announcements made available by Bloom Bot.
  • Failure to accept or acknowledge the Terms of Service, Privacy Policy, and Refund Policy.
  • Failure to take reasonable precautions to safeguard account credentials, private keys, or seed phrases.
  • Trading decisions made by the user, regardless of any information displayed by the Bot.

R3.5 General Market Conditions

No refund shall be issued for losses attributable to general market downtime, market-wide sell-offs, liquidity crises, regulatory actions, or any macroeconomic event affecting the cryptocurrency market.

R4

Refund Calculation and Limitations

R4.1 Actual Loss Only

In the event a refund is deemed appropriate, the refund amount shall be limited strictly to the actual, verifiable loss directly caused by the Bot's malfunction — calculated as the net difference between the value of assets at the time of the transaction and the value received or lost as a direct result of the Bot's error.

R4.2 Exclusions from Refund Calculation

  • Lost profits, unrealized gains, or anticipated returns.
  • Opportunity costs or the value of alternative trades.
  • Losses from collateral or related transactions not directly affected by the Bot's malfunction.
  • Consequential, incidental, special, punitive, or exemplary damages.
  • Service fees, gas fees, or network fees, unless incurred solely and directly as a result of the Bot's malfunction.

R4.3 Maximum Refund

Bloom Bot's aggregate liability for refunds to any single user in any twelve (12) month period shall not exceed the cap set forth in Section 18.2 of the Terms of Service.

R5

Refund Process

R5.1 Submission

Submit a detailed written request to support@bloombot.appwithin seven (7) calendar days of the incident. Late submissions may be rejected at Bloom Bot's sole discretion.

R5.2 Required Information

  • A detailed description of the issue.
  • The date and time of the incident.
  • All relevant transaction hashes.
  • Wallet addresses involved.
  • Screenshots or other evidence of the malfunction.
  • The amount of the claimed loss with supporting calculations.

R5.3 Investigation

Bloom Bot will investigate each refund request and reserves the right to take up to thirty (30) business days to complete its investigation. The outcome of the investigation is final and binding.

R5.4 Refund Method

If approved, refunds shall be issued in the same cryptocurrency or token that was lost, or in an equivalent value as determined by Bloom Bot, at the market rate at the time of disbursement.

R6

Fraud Prevention

Any attempt to submit a fraudulent, misleading, or exaggerated refund request shall result in immediate and permanent termination of your Account, forfeiture of any pending refund, and may be reported to the appropriate authorities. Bloom Bot reserves the right to pursue all available legal remedies against any person or entity that submits a fraudulent refund request.

R7

Final and Binding

All refund decisions made by Bloom Bot are final and binding. Bloom Bot's determination of eligibility, refund amount, and refund method shall not be subject to appeal, except through the dispute resolution mechanisms set forth in Section 23 of the Terms of Service.
